Service Description

Vendus AI provides an AI-powered workspace for B2B sales teams. The Service includes features such as calendar integration, meeting transcription and summarization, pre-call briefs, in-call assistance, follow-up email generation, and CRM synchronization. We may modify, enhance, or discontinue features at our discretion with reasonable notice.

Account Registration

To use the Service, you must create an account using Google or Microsoft OAuth. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials and connected integrations
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited activities.

Permitted Use

You may use the Service solely for your organization's internal business purposes in accordance with these Terms. You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to any part of the Service or its systems

You are responsible for ensuring that your use of the Service, including recording and transcribing meetings, complies with applicable privacy laws and that you have obtained all necessary consents from meeting participants.

Third-Party Integrations

The Service integrates with third-party platforms including Google Workspace, Microsoft 365, Zoom, Salesforce, and HubSpot. Your use of these integrations is subject to the respective terms and policies of those providers. We are not responsible for the availability, accuracy, or actions of third-party services.

You authorize us to access and interact with connected third-party services on your behalf as necessary to provide the Service.

Intellectual Property

The Service, including its software, design, features, and documentation, is owned by Vendus AI and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

You retain ownership of your data, including meeting recordings, transcripts, and content you upload. You grant us a license to use, process, and store your data solely to provide and improve the Service.

Subscription and Payment

Access to certain features may require a paid subscription. If applicable, you agree to pay all fees associated with your subscription plan. Fees are non-refundable except as required by law or as expressly stated in these Terms.

We may change our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

AI-generated content, including summaries, suggestions, and follow-up drafts, is provided for informational purposes and may contain errors. You are responsible for reviewing and verifying any AI-generated output before use.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDUS AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Vendus AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice, except in cases of serious misconduct where immediate termination may be necessary.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy, unless retention is required by law.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page, updating the "Last updated" date, or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

Severability
